These Terms & Conditions (“Terms”) govern your access to and use of Tokma’s websites, mobile applications, including Tokma App and Tokma Provider App, and related services collectively referred to as the “Services.”

By accessing or using the Services, you agree to these Terms.

If you do not agree with these Terms, please do not use the Services.


1) Who We Are

“Tokma,” “we,” “us,” or “our” refers to Tokma and its operators.

2. Eligibility and Accounts

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Services.

By creating an account or using Tokma, you agree that:

  • You will provide accurate, complete, and updated information.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You will not create an account using false, misleading, or unauthorized information.
  • Tokma may suspend or terminate your account if your information is inaccurate, incomplete, fraudulent, or violates these Terms.

Certain services may require users, providers, vendors, or drivers to meet additional eligibility, identity, verification, licensing, insurance, or compliance requirements.


3. Services Overview

Tokma is a service marketplace platform that helps users discover, book, request, and pay for services. Tokma also helps service providers, vendors, and drivers receive requests, manage bookings, offer services, and receive payouts.

Tokma may support different service models, including:

  • Pre-booked service reservations
  • Marketplace or custom job requests
  • Ride-sharing requests
  • Provider/vendor service fulfillment
  • Platform fee deduction
  • Customer cancellation and refund handling
  • Dispute review and resolution

Tokma acts as a marketplace and technology platform. Unless explicitly stated, Tokma does not directly perform the services booked or requested through the platform. Service providers, vendors, and drivers are independent parties responsible for delivering their respective services.


4. User and Provider Relationship

Users and providers are responsible for their communications, service arrangements, behavior, and performance, subject to these Terms and Tokma’s policies.

Providers are independent and are responsible for:

  • Providing accurate service information
  • Maintaining updated availability and pricing
  • Accepting or rejecting service requests appropriately
  • Delivering services professionally and safely
  • Complying with applicable laws, licenses, insurance, and regulations
  • Completing services according to the agreed booking or request details

Users are responsible for:

  • Providing accurate booking or request information
  • Being available at the selected service time and location
  • Paying applicable fees
  • Communicating respectfully with providers
  • Complying with Tokma’s policies and cancellation rules

Tokma may assist in communication, dispute review, payment processing, and support, but Tokma is not responsible for the direct actions, omissions, quality, safety, or performance of independent service providers unless required by applicable law.


5. Model A: Pre-Booking Model

In the pre-booking model, users book a service directly through the Tokma app or web portal.

User Booking Flow

  1. The user selects a service from the Tokma app or web portal.
  2. The user chooses the date, time, location, service details, and any required notes.
  3. The total service amount is shown before checkout.
  4. The user pays using a card or another supported payment method.
  5. The booking is confirmed in the system.
  6. The service provider receives the booking details.
  7. The provider delivers the service to the user.
  8. After the service is completed, confirmed, or otherwise eligible for settlement, Tokma processes the provider payout according to Tokma’s payout schedule.
  9. Tokma deducts the applicable platform commission before releasing provider earnings.

Provider Flow

The service provider receives confirmed booking details through the Tokma Provider App, provider portal, or another supported communication method.

The provider is responsible for delivering the service as booked by the user. After the service is completed or verified, the provider receives the applicable service fee through a supported payout method.


6. Model B: Marketplace / Custom Request Model

Tokma may allow users to post custom service requests or jobs when they do not want to book a fixed service package directly.

User Request Flow

  1. The user posts a service request or job through Tokma.
  2. The user enters service details, location, expected budget, preferred time, notes, and any supporting images or documents.
  3. To post the request, the user may be required to authorize an amount equal to or related to the expected service value.
  4. The amount may not be fully captured immediately unless the user accepts a provider offer or otherwise confirms the transaction.
  5. Once the request is posted, relevant providers may be notified.
  6. Providers may review the request and submit offers.
  7. The user reviews provider offers, including price, provider profile, rating, availability, and service details.
  8. The user accepts the preferred provider’s offer.
  9. After user acceptance, the authorized amount may be captured, adjusted, or processed based on the accepted offer and applicable payment provider rules.
  10. The provider completes the service.
  11. Tokma deducts its platform commission and settles the remaining eligible amount to the provider according to the payout schedule.

Provider Offer Flow

  1. Providers receive notifications for relevant user requests.
  2. A provider reviews the request details.
  3. The provider may accept the request or send a custom offer to the user.
  4. The user reviews and accepts or rejects the offer.
  5. If the user accepts the offer, the transaction moves forward.
  6. The provider delivers the service.
  7. After service completion and verification, the provider receives payment after Tokma deducts the applicable commission, fees, refunds, or adjustments.

7. Model C: Ride-Sharing Model

Tokma may offer ride-sharing or ride-request services through the platform.

The ride-sharing model works similarly to common ride-hailing platforms, where a user requests a ride, the system estimates a fare, a driver accepts the request, and the ride is completed.

Ride Request Flow

  1. The user enters the pickup location and destination.
  2. The system calculates the estimated fare.
  3. The user requests the ride.
  4. The system may authorize the estimated ride amount from the user’s selected payment method.
  5. Nearby or eligible drivers are notified.
  6. A driver accepts the ride request.
  7. Once the driver accepts and the ride proceeds, payment may be confirmed based on the estimated or final ride fare.
  8. The driver picks up the user and completes the ride.
  9. After completion, Tokma deducts the applicable platform commission.
  10. The driver receives the remaining eligible fare according to Tokma’s payout schedule.

Fare Adjustments

The final ride fare may vary based on:

  • Distance
  • Time
  • Waiting time
  • Route changes
  • Dynamic or surge pricing
  • Tolls
  • Taxes
  • Fees
  • Other ride-related adjustments

If the final fare is different from the originally authorized amount, Tokma may adjust the final charge according to payment provider rules, authorization limits, and applicable law.


8. Bookings, Confirmations, and Changes

When you book a service, post a request, accept an offer, or request a ride, Tokma may send confirmations and updates through:

  • In-app notifications
  • Email
  • SMS/text messages
  • Push notifications
  • Provider app notifications
  • Other supported communication methods

Booking details, provider assignment, pricing, availability, and service status may change depending on provider acceptance, user confirmation, location, availability, payment status, or other operational factors.

Tokma may allow cancellations, rescheduling, request updates, or booking changes depending on the service category, provider rules, timing, and Tokma’s policies.


9. Payments, Fees, and Authorization

By using Tokma to book services, post requests, accept offers, or request rides, you authorize Tokma and/or its payment partners to process payments, payment authorizations, captures, refunds, adjustments, and applicable fees.

Payment methods may include:

  • Credit cards
  • Debit cards
  • Digital wallets
  • ACH or bank transfer
  • Other payment methods supported by Tokma or its payment partners

Tokma may use third-party payment processors, merchant service providers, banks, payment gateways, card networks, ACH providers, wallet providers, or payout partners to process payments and provider payouts.

You agree that:

  • You are responsible for all charges associated with your confirmed bookings, accepted offers, ride requests, cancellation fees, and applicable taxes or fees.
  • Tokma may authorize a payment before capturing the final amount.
  • Tokma may capture payment after booking confirmation, offer acceptance, ride acceptance, service completion, or another transaction milestone.
  • Tokma may adjust charges where permitted, including final ride fare, service changes, cancellation fees, refunds, or corrections.
  • Payment processing may be subject to the terms of Tokma’s third-party payment providers.

Tokma does not guarantee that every payment method will be available at all times.


10. Tokma Platform Fee and Commission

Tokma charges a platform commission for facilitating transactions between users and providers.

Tokma’s commission generally ranges from 5% to 8%, depending on:

  • Service category
  • Provider type
  • Business agreement
  • Operational cost
  • Payment method
  • Applicable promotional or commercial arrangement

Example:

  • Customer pays: $100
  • Tokma commission: 8%
  • Tokma platform fee: $8
  • Provider gross payout before other deductions: $92

Payment processing fees, chargeback fees, taxes, refunds, payout fees, adjustments, or other applicable deductions may be calculated separately depending on Tokma’s policies and payment provider rules.

Tokma may update commission rates, fees, or payout rules from time to time. Updated fees may be shown in the app, provider portal, agreement, or other official communication.


11. Provider Payouts and Settlement

Service providers, vendors, and drivers may receive payouts after eligible services are completed, confirmed, verified, or otherwise approved for settlement.

Provider payouts may be sent through:

  • ACH transfer
  • Bank transfer
  • Payment provider payout system
  • Wallet balance withdrawal
  • Other supported payout methods

Tokma may follow a daily, weekly, bi-weekly, category-specific, or risk-based settlement schedule.

Provider payout records may include:

  • Booking ID
  • Reservation ID
  • Request ID or ride ID
  • Customer payment amount
  • Service date
  • Service category
  • Tokma commission
  • Payment processing fee
  • Refund or adjustment, if any
  • Net provider payout
  • Payout status
  • Transaction reference ID

Tokma may delay, hold, reduce, reverse, or adjust provider payouts if:

  • The service is disputed
  • A refund or chargeback occurs
  • Fraud or misuse is suspected
  • The provider violates Tokma policies
  • The customer reports non-delivery or poor service
  • Payment is not successfully received or settled
  • Required verification or payout information is incomplete
  • Applicable law, payment processor rules, or risk controls require a hold

12. Taxes and Fees

Users and providers are responsible for any applicable taxes, charges, government fees, or reporting obligations related to their use of Tokma.

Tokma may calculate or collect taxes where required or where supported by the platform. However, providers are responsible for understanding and complying with their own tax obligations unless otherwise required by law.

Tokma may issue transaction reports, payout reports, or tax-related information where required or available.


13. Cancellations, Rescheduling, and No-Shows

Users may cancel bookings according to Tokma’s cancellation policy and the rules displayed in the app or communicated by support.

Cancellation and rescheduling rules may depend on:

  • Service category
  • Time remaining before the service
  • Provider preparation cost
  • Whether the provider has already started the service
  • Ride status
  • Custom request agreement
  • Tokma’s refund and cancellation terms
  • Provider-specific rules

Possible cancellation outcomes may include:

  • Full refund
  • Partial refund
  • Cancellation fee
  • No refund after the service starts or after a defined cutoff period
  • Provider compensation where applicable
  • Account review for repeated misuse

If a user fails to show up or is unavailable, or if a provider fails to deliver a confirmed service, Tokma may apply the relevant policies shown in the app and may investigate repeated misuse.


14. Refunds

Refunds may be issued where permitted by Tokma’s policies, payment provider rules, or applicable law.

Refunds may be considered when:

  • The provider cancels the booking
  • The service is not delivered
  • The user cancels within the allowed cancellation window
  • A duplicate payment occurs
  • An incorrect amount is charged
  • Tokma support approves a refund after dispute review
  • A payment processor, bank, or card network requires a refund or reversal

Refunds are generally processed back to the original payment method whenever possible. Refund timing depends on the payment provider, bank, card network, ACH provider, wallet provider, or payment method used.

Tokma may deny or reduce a refund if:

  • The service was completed
  • The cancellation occurred after the allowed window
  • The provider already incurred costs
  • The user violated Tokma policies
  • Evidence does not support the refund request
  • A chargeback or dispute process is already active

15. Disputes and Chargebacks

If there is a dispute between a user and a provider, Tokma support may review the case using available system records and submitted evidence.

Tokma may review:

  • Booking date and time
  • Service date and time
  • Booking amount
  • Reservation ID
  • Request ID or ride ID
  • Service category
  • Customer and provider details
  • Payment status
  • Provider acceptance record
  • Service completion status
  • Location or ride-tracking data, if applicable
  • Uploaded images, documents, screenshots, or proof
  • Cancellation reason
  • Refund history
  • Provider notes
  • User complaint details
  • Communication history related to the transaction

Based on the available evidence, Tokma may decide to:

  • Release payment to the provider
  • Refund the user fully or partially
  • Apply a cancellation fee
  • Hold the payment temporarily
  • Request additional evidence
  • Reverse or adjust a payout
  • Escalate the case for further review

Chargebacks or payment disputes initiated through a bank, card issuer, payment provider, or payment network may be handled according to the rules of those third parties. Tokma may provide transaction records, booking details, service evidence, communication history, or other supporting information to respond to such disputes.


16. SMS/Text Messaging Terms

By providing your phone number and opting in, you consent to receive transactional text messages from Tokma related to your account, bookings, service activity, and payment activity.

Messages may include:

  • OTP verification
  • Account welcome messages
  • Booking confirmations
  • Booking reminders
  • Booking updates
  • Cancellations
  • Service notifications
  • Payment, refund, payout, or dispute-related updates
  • Important account or security notices

Message frequency varies based on your activity.

Message and data rates may apply depending on your carrier plan.

To opt out at any time, reply STOP. You may receive one final confirmation message.

Carriers are not liable for delayed or undelivered messages.

Consent to receive SMS is not a condition of purchase.


17. Acceptable Use

You agree not to:

  • Use the Services for illegal, harmful, abusive, deceptive, or fraudulent purposes
  • Misrepresent your identity or provide false information
  • Post fake bookings, fake service requests, fake provider offers, or fraudulent reviews
  • Harass, threaten, abuse, discriminate against, or harm others
  • Interfere with the security or operation of the Services
  • Attempt to access accounts, data, or systems you are not authorized to access
  • Circumvent Tokma’s payment system or avoid platform fees
  • Use Tokma to sell, request, or provide prohibited, restricted, unsafe, illegal, or unauthorized services
  • Upload malicious code, spam, or harmful content
  • Abuse refunds, cancellations, chargebacks, promotions, or dispute processes
  • Use another person’s payment method without authorization

Tokma may suspend, restrict, or terminate access for violations.


18. Provider Responsibilities

Providers, vendors, and drivers using Tokma agree to:

  • Provide accurate profile, service, pricing, availability, and payout information
  • Deliver services professionally and safely
  • Accept only service requests they are able to fulfill
  • Comply with all applicable laws, licenses, permits, insurance, and regulations
  • Maintain required qualifications for their service category
  • Communicate respectfully with users
  • Avoid charging users outside Tokma where Tokma payment is required
  • Avoid fraudulent, misleading, unsafe, or abusive conduct
  • Cooperate with Tokma support during disputes, cancellations, refunds, or investigations
  • Keep payout details accurate and updated

Tokma may review, approve, reject, suspend, or remove provider accounts, service listings, or payout eligibility at its discretion where permitted by law and platform policy.


19. User Content and Reviews

If you submit content through Tokma, including messages, reviews, ratings, images, documents, service descriptions, provider listings, or support communications, you grant Tokma a non-exclusive, worldwide, royalty-free license to use, host, display, store, reproduce, distribute, and process that content for operating, improving, promoting, and securing the Services.

You are responsible for ensuring that you have the rights to post your content and that your content does not violate laws, third-party rights, or Tokma policies.

Tokma may remove, restrict, or moderate content that is false, misleading, abusive, unlawful, offensive, fraudulent, or violates these Terms.


20. Privacy

Your use of the Services is also governed by Tokma’s Privacy Policy.

The Privacy Policy explains how Tokma collects, uses, shares, and protects information, including account information, booking information, payment-related information, SMS consent data, provider information, and dispute-related records.


The Services may include links, integrations, payment processors, banks, gateways, messaging providers, analytics providers, maps, communication tools, or other third-party services.

Tokma is not responsible for third-party content, services, policies, security, availability, or practices.

Your use of third-party services may be governed by the terms and privacy policies of those third parties.


22. Service Availability and Changes

Tokma may update, modify, suspend, limit, or discontinue any part of the Services at any time.

Tokma does not guarantee that:

  • The Services will always be available
  • A provider will always be available
  • A booking or request will always be accepted
  • A payment method will always work
  • A payout will always be processed immediately
  • A service outcome will meet every expectation

Tokma may also add, remove, restrict, or modify service categories based on business needs, compliance requirements, payment processor rules, legal requirements, or safety concerns.


23. Disclaimers

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, Tokma disclaims warranties of any kind, whether express, implied, statutory, or otherwise.

Tokma does not guarantee:

  • Uninterrupted or error-free operation
  • Provider availability
  • Service quality or outcome
  • Accuracy of provider listings
  • User or provider conduct
  • Availability of specific payment methods
  • Immediate settlement or payout
  • That disputes will always be resolved in favor of a particular party

Users and providers use the Services at their own risk, subject to applicable law.


24. Limitation of Liability

To the maximum extent permitted by law, Tokma will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, revenue, business opportunity, or service interruption arising out of or related to your use of the Services.

Tokma’s total liability for any claim will be limited to the amount you paid to Tokma, if any, in the three months before the event giving rise to the claim, unless applicable law requires otherwise.

This limitation applies to claims related to bookings, service requests, provider conduct, cancellations, refunds, disputes, payment processing, payout delays, service quality, account suspension, or use of the Services.


25. Indemnification

You agree to indemnify, defend, and hold Tokma harmless from claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of applicable law
  • Your violation of another party’s rights
  • Your content, reviews, listings, or communications
  • Your service delivery or failure to deliver services
  • Your misuse of payments, refunds, cancellations, disputes, or chargebacks
  • Your fraudulent, negligent, abusive, or unauthorized conduct

26. Suspension and Termination

Tokma may suspend, restrict, or terminate your access to the Services if:

  • You violate these Terms
  • Your use creates risk or legal exposure
  • Fraud, abuse, or suspicious activity is detected
  • Required by law, payment provider, bank, card network, or regulatory authority
  • You misuse payments, refunds, cancellations, chargebacks, disputes, or promotions
  • You provide false, incomplete, or misleading information
  • Your conduct affects user safety, provider safety, platform security, or Tokma’s operations

You may stop using the Services at any time.

Termination does not automatically cancel obligations related to completed transactions, unpaid fees, refunds, disputes, chargebacks, provider payouts, taxes, or legal obligations.


27. Changes to the Services or Terms

We may update the Services or these Terms from time to time.

When we make changes, we will post the updated version and revise the “Last Updated” date. If changes are significant, we may provide additional notice through the app, website, email, SMS, or other appropriate means.

Your continued use of the Services after changes become effective means you accept the updated Terms.


28. Governing Law and Venue

These Terms are governed by the laws of the State of Nebraska, without regard to conflict of law principles.

Any dispute will be brought in the state or federal courts located in Omaha, Nebraska, unless applicable law requires otherwise.
